A personal guarantee can expose the guarantor beyond the business’s limited-liability shell. Before signing, identify the guaranteed amount, whether liability is capped or continuing, what events trigger demand, which other security exists, whether the guarantee survives renewals, and how release is documented after closure.
Should you sign the personal guarantee?
Guarantee is capped and tied to one defined facility
Review the cap, duration, trigger and release terms. Still model the worst-case personal cash demand.
Guarantee is continuing or broadly worded
Get legal advice before signing. Understand whether renewals, enhancements or multiple facilities can fall inside it.
Multiple promoters are guarantors
Do not assume the lender must collect proportionally. Read liability wording and document internal contribution arrangements separately.
You are leaving the business
A share sale or resignation does not automatically release a guarantee. Obtain lender-confirmed release in writing.

Model the personal downside
Assume the business cannot pay at the worst possible time. Could you meet a guarantee demand without losing essential household assets or defaulting on personal obligations? If not, negotiate the facility size, cap or structure rather than treating the guarantee as paperwork.
Internal founder agreements do not bind the lender automatically
Founders may agree to share guarantee exposure 50/50, but the lender’s rights come from the guarantee and loan documents. Internal indemnities can help allocate losses between founders but do not necessarily limit lender recovery. Obtain legal advice for material guarantees.
